Terms of Service

1. Acceptance of Terms

By accessing or using the AbSo Logistics website, mobile application, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. AbSo Logistics ("AbSo," "we," "us," or "our") is operated by Golden Squirrel AI.

2. Description of Service

AbSo provides a marketplace connecting auction Winners ("Winners") with independent delivery drivers ("Drivers") for same-day last-mile delivery of items purchased at partner auction houses. AbSo is a technology platform that facilitates the connection between Winners and Drivers. AbSo is not a carrier, transportation company, or delivery service. Drivers are independent contractors, not employees of AbSo.

3. User Accounts

3.1 Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

3.2 Account Types

  • Winners: Individuals who book delivery of auction-purchased items.
  • Drivers: Independent contractors who accept and complete delivery requests. Subject to background check and vehicle requirements.
  • Auction House Partners: Businesses that partner with AbSo to offer delivery services to their customers.

4. User Obligations

You agree to:

  • Use the Service only for lawful purposes
  • Provide accurate delivery information including pickup and drop-off addresses
  • Not ship prohibited items including hazardous materials, illegal goods, live animals, or items exceeding posted size/weight limits
  • Be available (or have a designated recipient available) to receive deliveries during the scheduled window
  • Not interfere with or disrupt the Service or servers
  • Not impersonate any person or entity
  • Not use the Service to harass, threaten, or harm any other user

5. Payment Terms

5.1 Winner Payments

Delivery fees are displayed at the time of booking and charged upon confirmation. Pricing tiers include Early Bird ($15, booked 48+ hours ahead), Anytime ($20), and Standard ($25, same-day with specific window). Add-ons such as additional stops ($5) and oversized items ($10) are charged at booking. All payments are processed through Stripe. Prices are in US dollars.

5.2 Driver Payments

Drivers receive $7 base pay per delivery plus applicable bonuses. Earnings are deposited weekly via direct deposit. Tips from Winners are passed through in full and available instantly. AbSo reserves the right to modify payment rates with 30 days' notice.

5.3 Auction House Payments

Auction house partners are invoiced monthly at $4-5 per completed delivery. No setup fees or monthly minimums apply. Payment is due within 30 days of invoice date.

6. Cancellations and Refunds

Winners may cancel a delivery request at any time before a Driver has been assigned at no charge. Once a Driver is assigned, cancellation may result in a cancellation fee. If a delivery is not completed due to a fault of AbSo or the Driver, the Winner will receive a full refund. Refunds are processed to the original payment method within 5-10 business days.

7. Limitation of Liability

To the maximum extent permitted by applicable law, AbSo and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

AbSo's total liability for any claim arising from these Terms or the Service shall not exceed the amount paid by you to AbSo in the twelve (12) months preceding the claim. Claims for damaged items are valued at the auction purchase price (receipt required) and must be filed within 48 hours of delivery.

8. Indemnification

You agree to indemnify, defend, and hold harmless AbSo and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Golden Squirrel AI and are protected by copyright, trademark, and other intellectual property laws. The AbSo name, logo, and all related marks are trademarks of Golden Squirrel AI.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. Any outstanding payment obligations survive termination.

11. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Clark County, Nevada, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action. Either party may seek injunctive relief in a court of competent jurisdiction.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the Effective Date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
